BlumbergExcelsior Introduces Online New York LLC Formation Service

NEW YORK, NY—June 26, 2006—BlumbergExcelsior, a leading provider of corporate services, has introduced a new online application that enables users to organize a New York Limited Liability Company (LLC) easily. The application questionnaire walks users through the organization process in just a few minutes and creates a basic or single member custom-tailored operating agreement. Most competing services go no further than providing blank forms for an operating agreement. The Blumberg application provides a free customized operating agreement so the LLC record book is up-to-date from the start. Blumberg’s experienced corporate service representatives review the documents, check name availability and file the LLC. Blumberg’s online LLC formation service complies with the June 1, 2006 statutory revisions.

At $485.50 Blumberg’s New York Online LLC Service offers expedited service at substantial savings. In addition to the free customized operating agreement the cost includes document preparation, filing, expedited service disbursements, publication assignment and filing affidavits of publication. Blumberg’s Black Beauty LLC kit, complete with seal, operating agreement and units of membership interest certificates, is also included. Representative or percent certificates are substituted for units of membership interest certificates on request. Blumberg ships the LLC kit free. The cost breaks down as follows:

For new LLC’s New York law requires publication in two newspapers for six consecutive weeks. The 2006 amendments provide that an LLC will be suspended if it does not comply with the publication requirement within 120 days of formation. LLC’s formed after January 1, 1999, which have not advertised, must comply or be suspended. The cost to advertise the LLC information is not included in the $485.50 since publication costs vary from county to county and depend upon which newspapers the county clerk assigns. Costs range between $200 and $2,500. Blumberg Corporate Services will provide an estimate upon request.

In New York, however, it is more important than ever to fulfill the publication requirement to avoid suspension of LLC’s and to protect clients’ limited liability benefits. Blumberg obtains the newspaper assignment, drafts and places the ads, obtains the Affidavit of Publication from the publisher, prepares the Certificate of Publication for the LLC to sign and files both with the Secretary of State. Blumberg’s fee for publication preparation and filing is only $100 for both new and non-compliant LLC’s.

How to Organize a New York Limited Liability Company (LLC) Online

  1. Visit Blumberg’s web page for LLC and incorporation services.
  2. Enter a User Name and Password.
  3. Respond to the questions.
  4. Blumberg’s editors have included helpful tips to simplify the process. The questions are straightforward and take just a few minutes to answer. Many fields default to standard answers that represent common practice. Users can change any of these answers or accept the standard answer and go directly to the next question. At the end of the questionnaire, after selecting the LLC outfit, there is an opportunity to review and edit answers.
  5. After submitting the completed questionnaire, data will be saved in a file. Once the LLC has been formed Blumberg Corporate Services e-mails the customized operating agreement to the customer who may print it as is or first make changes. The user should print the page or record the file name from the last page of the questionnaire.
  6. If a person does not answer a question, that field will be left blank in the documents. However, certain fields must be completed for the articles of organization. To ensure successful document preparation these fields are marked “Required Fields.” The application will not move forward unless they have been filled in.
  7. Shortly after a user submits a questionnaire, one of Blumberg’s corporate service representatives reviews the documents, checks name availability and files the LLC. Blumberg contacts the customer by telephone or e-mail if there are any questions. Once the LLC has been formed – usually in one or two business days – the customer is notified and e-mailed a copy of the custom LLC Operating Agreement, recently revised by the law firm of Thacher, Proffitt and Wood LLP. At that time the LLC kit, with the original filing receipt and a copy of the Articles of Organization, are sent to the customer via UPS.
